Item 8.01 Other Events
On August 17, 2020, New Fortress Energy Inc. (the “Company”) announced that it is commencing an offering of $800.0 million aggregate principal amount of
senior secured notes due 2025 (the “Notes”) in a private offering, subject to market and other conditions.
The Company intends to use the net proceeds from the offering to repay in full the amounts outstanding under its credit agreement, terminating the credit
agreement, and to use the remaining net proceeds (if any) for general corporate purposes, including the financing of its operations.
The Notes and the guarantees thereof will be offered in the United States to qualified institutional buyers under Rule 144A under the Securities Act of
1933, as amended (the “Securities Act”), and to persons outside of the United States under Regulation S under the Securities Act. The Notes and the guarantees thereof will not be registered under the Securities Act or any state securities laws, and,
unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
